DATA ACCESS AGREEMENT for Non-Profit Research Organizations This Agreement is made and is effective as of the date of the last signature below between: Universitätsklinikum Bonn, Venusberg-Campus 1, 53127 Bonn, Germany (the Data Controller) and (the User) and (the User Institution) This Agreement governs the terms on which access will be granted to the genotype data (generated by the Data Controller). In signing this agreement, the User and User-Institution are agreeing to be bound by the terms and conditions of access set out in this Agreement. I. Definitions: Data means all human genetic data from study ID EGAS-UPDATE of the Data Controller User may access from the data base of the European Genome-phenome Archive (EGA). Data Controller means a natural or legal person which determines the purposes for which and the means by which the Data is processed. Data Subject means a person, who has been informed of the purpose for which the Data is held and has given his/her informed consent thereto. Consent of the Data Subject means any freely given, specific, informed and unambiguous indication of the data subject’s wishes by which he or she, by a statement or by a clear affirmative action, signifies agreement to the processing of personal data relating to him or her. Publications means, without limitation, articles published in print journals, electronic journals, reviews, books, posters and other written and verbal presentations of research. User Institution means the organisation at which the User is employed, affiliated or enrolled. User means a researcher to which the Data are disclosed and whose User Institution has completed this Data Access Agreement. For the sake of clarity, the terms of access set out in this Agreement apply both, to the User and the User’s institution (User Institution as defined herein). User Institution and User are both referred to within the Agreement as “User” and shall be construed accordingly. II. Terms and Conditions: In signing this Agreement: 1. The User agrees to use the Data only for the advancement of non-commercial medical research. 2. The User agrees to preserve, at all times, the confidentiality of information and Data pertaining to Data Subjects. In particular, the User undertakes not to use, or attempt to use the Data to compromise or otherwise infringe the confidentiality of information on Data Subjects and their right to privacy. 3. The User agrees not to transfer or disclose the Data, in whole or part, or any material identifying or rendering Data Subjects identifiable, or any identifiable material derived from the Data, to third parties. Should the User wish to share the Data with a third party, that third party must make a separate application with the Data Controller for access to the Data. 4. User agrees not to undertake, incite or facilitate the re-identification of Data Subjects and will promptly and irrevocably delete any Data or material identifying or rendering Data Subjects identifiable. 5. The User agrees to acknowledge in any work based in whole or part on the Data, the published paper from which the Data derives, the version of the data, and the role of the Data Controller and the relevant primary collectors and their funders. 6. The User accepts that the Data Controller (a) bear no legal responsibility for the accuracy or comprehensiveness or interpretation of the Data; and (b) accept no liability for damages or losses arising from use of the Data, or from the unavailability of, or break in access to, the Data for whatever reason, whether in contract or torts, except that the Data Controller shall be liable to the User for damages to the extent such damages are caused by the gross negligence or willful misconduct of the Data Controller. No indemnification for any loss, claim, damage, or liability is intended or provided by any party under this agreement. 7. The User understands and acknowledges that the Data is protected by copyright and other intellectual property rights, and that duplication, except as reasonably required to carry out the User’s research with the Data, or sale of all or part of the Data on any media is not permitted. 8. The User recognizes that nothing in this agreement shall operate to transfer to the User Institution any intellectual property rights relating to the Data. The User has the right to develop intellectual property based on comparisons with their own data. 9. The User accepts that this agreement will terminate immediately upon any breach of this agreement by User, and User will be required to destroy any Data held. 10. The User accepts that it may be necessary for the Data Controller or its appointed agent to alter the terms of this agreement from time to time in order to address new concerns. In this event, the Data Controller or its appointed agent will contact the User to inform the User of any changes and the User agrees that the User’s continued use of the Data shall be dependent on the parties entering into a new version of the Agreement. 11. The User accepts that the Data is subject to laws for data protection and to rights granted thereunder to the Data Subject and that User is responsible for ensuring compliance with any such applicable law and rights claimed thereunder by the Data Subject. The Data Controller‘s Data Access Committee reserves the right to request data security and management documentation to ensure the adequacy of data protection measures. 12. The User will notify the Data Access Committee and the Data Controller as soon as it becomes aware of a breach of this agreement. 13. Articles 1 to 8 shall survive the termination of this agreement.
